Mystiq Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Helping Patient and Pharmacist Inc. ("Mystiq", "we", "us", or "our") and govern your use of the Mystiq desktop application, the Mystiq cloud service, the website at mystiqapp.ai, and any related services (together, the "Service").
By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Mystiq is
Mystiq is a voice-to-text application. It listens to your voice through your microphone, transcribes it into text, and optionally polishes that text for you.
Mystiq comes in two versions:
- Desktop version. Runs entirely on your computer. Transcription happens locally on your device. No audio or text is sent to us. You can try it free for 10 days; after that, a one-time purchase unlocks it permanently.
- Cloud version. A subscription that adds one final formatting step: after your speech is transcribed on your device, the resulting text (never the audio) is sent to our servers to be cleaned up and formatted, and the result is returned to you.
Your audio never leaves your device in either version.
2. Who can use Mystiq
You must be at least 14 years old to use the Service, or older if the law where you live sets a higher minimum age for using online services or consenting to data processing (for example, 16 in some countries in the European Union). If you are under the age of majority where you live, you may only purchase the Desktop version or a Cloud subscription with the permission of a parent or legal guardian.
By using the Service, you confirm that you meet these requirements.
3. Your license to use Mystiq
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Desktop version on devices you own or control, for personal or business purposes, during your free trial, after you purchase the Desktop version, or for as long as you hold a valid Cloud subscription.
You may not:
- copy, modify, or create derivative works of the Service;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except where the law expressly permits it;
- sell, rent, lease, sublicense, or redistribute the Service;
- remove any copyright, trademark, or other proprietary notices;
- bypass, disable, or interfere with any licensing, subscription, or security feature.
Parts of Mystiq may include open-source components licensed under their own terms. Those terms apply to those components and are available on request from support@mystiqapp.ai.
4. Free trial, purchases, and subscriptions
Free trial. You can use the Desktop version free for 10 days from when you first start the trial. When the trial ends, the app stops working until you purchase the Desktop version or start a Cloud subscription. Starting a trial does not require payment details, and nothing is charged when it ends.
Accounts. To buy, activate, or manage a Desktop purchase or a Cloud subscription, you need an account. You are responsible for keeping your login details private and for all activity under your account. Contact us at support@mystiqapp.ai right away if you believe your account has been compromised.
Desktop purchase. The Desktop version is a one-time purchase. You pay once and may keep using that version indefinitely on devices you own or control. There is no recurring charge and nothing to cancel.
Cloud subscription. A Cloud subscription is billed in advance on a recurring basis (monthly or annually, as selected at checkout) and gives you access to the Cloud formatting features. What each plan includes is shown at checkout.
Pricing and billing. Prices are shown at checkout and may include applicable taxes. Payments are processed by our payment processor; we do not see or store your full payment card details.
Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. This applies to Cloud subscriptions only. The Desktop purchase does not renew and cannot be cancelled, because it is charged once.
Refunds. Payments, including the one-time Desktop purchase, are non-refundable except where required by law.
Price changes. We may change our prices. We will give subscribers at least 30 days' notice by email before a price change applies to them, and you can cancel before the new price takes effect.
5. Your content and AI output
You own your content. Anything you say into Mystiq, and the text Mystiq produces from it ("Output"), belongs to you. We claim no ownership over your input or Output, and you may use Output for any purpose.
We don't train on your data. We do not use your voice, your transcripts, your Output, or any other data from you to train, fine-tune, or improve AI models, and we never sell your data. See our Privacy Policy for details.
You are responsible for your content. You are responsible for what you dictate and for how you use the Output. Mystiq does not filter, moderate, or censor what you say or what it transcribes. If you use Mystiq to transcribe other people, you are responsible for obtaining any consent that the law in your area requires before recording or transcribing them.
AI can make mistakes. Mystiq uses artificial intelligence to transcribe and format speech. AI output can be inaccurate, incomplete, or misleading: it can mishear words, drop or add content, misformat numbers, or change meaning. Always review Output before relying on it, especially for anything important, such as legal, medical, financial, or professional documents, messages sent to others, or anything that could cause harm if it is wrong. Output is not professional advice of any kind. Output generated for you may be similar to Output generated for other users; we do not guarantee that Output is unique.
6. Acceptable use
We do not restrict what you can say or write with Mystiq. We only ask that you do not use the Service to:
- break the law or violate anyone else's rights;
- attack, overload, probe, or disrupt our servers, or access them by any means other than the app itself;
- share a subscription across people or devices it isn't licensed for, or resell access to the Cloud version;
- impersonate us or misrepresent your relationship with us.
7. Intellectual property
The Service, including the software, design, branding, and the Mystiq name and logo, is owned by us or our licensors and is protected by copyright, trademark, and other laws. Except for the license in Section 3 and your ownership of your content and Output in Section 5, these Terms do not give you any rights to our intellectual property.
If you send us feedback or suggestions, you agree that we may use them without any obligation to you.
8. Third-party services
The Cloud version uses third-party providers to process your requests (for example, the hosting and AI providers described in our Privacy Policy). The Service may also link to third-party websites. We are not responsible for third-party services, and your use of them is governed by their own terms.
9. Updates and changes to the Service
We may release updates to the Desktop version, and the app may check for and download updates automatically. We may add, change, or remove features of the Service at any time. We may also suspend or discontinue the Service, or any part of it, with reasonable notice where practical. If we discontinue a subscription plan, we will refund any prepaid amount for the unused portion of your subscription.
10. Termination
You can stop using the Desktop version at any time by uninstalling it. Uninstalling does not cancel a subscription; you can cancel as described in Section 4.
We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if continuing to provide the Service is no longer commercially reasonable. If we terminate your subscription for a reason other than your breach, we will refund any prepaid amount for the unused portion.
Sections 5, 7, and 11 through 16 survive termination.
11. Disclaimer of warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will be accurate or complete.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law:
- we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service, even if we have been advised of the possibility of such damages;
- our total liability to you for all claims arising out of or related to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) CAD $50.
This includes damages resulting from inaccurate or incomplete Output that you relied on without reviewing it.
Nothing in these Terms limits liability that cannot be limited by law, including under consumer protection laws that apply to you.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, and expenses (including reasonable legal fees) arising out of your content, your Output, your use of the Service, or your breach of these Terms or applicable law.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Any dispute will be resolved in the courts located in Ontario, Canada, and you consent to their jurisdiction.
If you are a consumer, you may have rights under the consumer protection laws of your home jurisdiction that this section does not override. Before starting a dispute, please contact us at support@mystiqapp.ai. We would rather fix the problem.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email to Cloud subscribers, a notice in the app, or a notice on our website) at least 14 days before the changes take effect. Your continued use of the Service after that date means you accept the updated Terms. If you do not agree, stop using the Service and cancel any subscription before the changes take effect.
16. General
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce any part of these Terms is not a waiver of our right to do so later.
- Assignment. You may not transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Export. You agree to comply with any export laws that apply to your use of the software.
- Language. These Terms are written in English. Any translation is provided for convenience only.
